Workforce Content License Agreement

This document describes the key terms of the AI Security Workforce Readiness Content License Agreement between aisecurity.llc and a platform partner. Final binding terms are set in the executed Order Form and this Agreement.

1. Licensed Content

aisecurity.llc grants Partner a limited, non-exclusive (unless an Exclusivity Addendum is in effect), non-transferable license to use the following AI Security Workforce Readiness content during the License Term:

• AI Security Role Taxonomy — structured role archetypes, NIST NICE KSA crosswalk, AI security extensions, and market-calibrated skill language
• Q&A Credential Bank — scenario-based knowledge items, domain mappings, difficulty bands, explanations, and remediation path references (item count and domains per Order Form)
• Job Navigator Data Layer — job-market intelligence feed: title normalization, skill demand signals, hiring-demand trends, and employer patterns (refresh cadence per Order Form)
• Readiness Diagnostic Engine — scoring methodology, band thresholds, diagnostic question sequence, and result schema
• Workforce Intelligence Report Template — report structure, section methodology, data placeholder definitions, and sample report
• Hiring Calibration Methodology — workshop design, role-architecture framework, JD rewrite methodology, interview loop design, scorecard model, and Q&A screen methodology

2. Permitted Use

Partner may use Licensed Content to:

• Embed role taxonomy, Q&A bank, and job-market data in Partner's platform features under the permitted branding tier
• Facilitate Hiring Calibration Workshops for Partner's enterprise customers under Partner's brand (with aisecurity.llc facilitation where specified in the Order Form)
• Author and deliver Workforce Intelligence Reports to Partner's enterprise customers using the Licensed Content methodology
• Map Licensed Content to Partner's existing content catalog and present role readiness profiles to practitioners within Partner's platform
• Deliver diagnostic scoring using the Licensed Content methodology within Partner's platform infrastructure

3. Sublicensing and Resale Boundaries

Partner may not sublicense, resell, or redistribute Licensed Content as a standalone product without a separate Resale Addendum. The following are not permitted under the standard license:

• Selling the Q&A bank, role taxonomy, or readiness diagnostic as a standalone assessment product independent of Partner's platform
• Redistributing content to third-party platforms or training providers
• Providing Licensed Content to any third party except Partner's enterprise customers as part of the permitted platform features

4. Branding Rights

Branding tier is specified in the Order Form:

Co-branded Partner may display aisecurity.llc name and attribution in formats approved by aisecurity.llc. Minimum commitments apply. aisecurity.llc attribution required in content and outputs.

Private-label Partner branding in partner-facing content and customer-visible outputs. aisecurity.llc attribution may be limited to documentation and legal notices. Mid-tier minimum.

Full white-label Partner brand in all content and outputs. No aisecurity.llc attribution in customer-facing materials. Requires: higher minimum commitment, Customer-Facing Claims Policy agreement, and output review process. Claims must be approved before public use.

Branding rights do not include:

• Claiming IP ownership of role taxonomy, Q&A methodology, NIST NICE mapping, or scoring model
• Removing aisecurity.llc attribution from legal agreements or compliance exhibits without written approval
• Using aisecurity.llc name or marks other than as specified in the branding tier

5. Customer-Facing Claims Policy

All Partner customer-facing claims derived from Licensed Content must be reviewed and approved by aisecurity.llc before public use or distribution to customers.

Approved claim categories (typically permitted):

• AI security role readiness profiling and career intelligence
• Q&A knowledge assessment coverage across AI security domains
• Job-market intelligence for AI security roles
• Hiring calibration methodology for AI security functions

Claims requiring approval before use:

• Specific coverage percentages or domain completeness claims
• Certification or credential validity claims referencing aisecurity.llc methodology
• Performance benchmarks or comparative claims about practitioner readiness

Claims not permitted:

• "Certifies" or "guarantees" AI security readiness without qualification
• Standalone employment decisions based solely on readiness diagnostic outputs
• CVE-equivalent claims from Q&A screening results
• "Complete" coverage of the AI security domain without qualification

6. Responsible Use — Workforce Readiness Outputs

Partner acknowledges and agrees:

• Work-style, readiness diagnostic, and psychometric outputs are development and training signals, not clinical assessments or employment certifications
• These outputs must not be used as the sole basis for employment, termination, or promotion decisions
• Partner is responsible for ensuring enterprise customers understand this constraint in their use of Hiring Calibration and Workforce Report outputs
• Hiring decisions must remain human-reviewed, role-specific, validated for the deployment context, and compliant with applicable employment law
• Partner indemnifies aisecurity.llc for claims arising from non-compliant use of workforce readiness outputs by Partner or Partner's enterprise customers

7. IP Ownership

aisecurity.llc retains all IP rights in Licensed Content, including role taxonomy, Q&A bank, scoring models, methodology, and diagnostic frameworks. No IP rights are transferred to Partner under this Agreement.

Partner retains all IP rights in:

• Partner's platform, UX, and engineering infrastructure
• Partner's practitioner and customer data
• Custom extensions commissioned from aisecurity.llc (if a Custom Extensions Addendum is in place — those rights transfer per that addendum's terms)

8. Content Updates

aisecurity.llc will provide Licensed Content updates on the schedule specified in the Order Form (baseline: role taxonomy twice per year, Q&A bank quarterly additions, job-market data monthly refresh). Updates are delivered in the same format as the original content delivery.

aisecurity.llc will provide at least 90 days notice before deprecating a content version. Partner is responsible for integrating updates within the compatibility window.

9. License Term and Renewal

License Term is specified in the Order Form (baseline: annual). License auto-renews unless Partner provides written notice of non-renewal at least 60 days before the end of the term.

On expiration or termination:

• Partner must cease using Licensed Content in all customer-facing features within 30 days of the effective end date
• Partner must delete or return all Licensed Content in Partner's possession within 30 days, and provide written certification of deletion
• Practitioner data generated by Partner's platform using Licensed Content methodology may be retained by Partner subject to Partner's standard data retention policy

10. Exclusivity

Standard licenses are non-exclusive. Exclusivity by vertical (e.g., cyber range, certification provider, talent marketplace) or geography is available in a separate Exclusivity Addendum, subject to minimum commitments and approval.

11. Support

Standard support is included in the Annual Content License. Support tiers and SLAs are specified in the Support and SLA Addendum. For Hiring Calibration Workshop facilitation by aisecurity.llc: aisecurity.llc is responsible for session delivery; Partner's enterprise account team owns the customer relationship.
