Academy Content License Addendum
Licensed content definition, permitted use, white-label rights, sublicensing limits, prohibited uses, IP ownership, claim boundaries, and wind-down terms for enterprise content licensing.
This Addendum governs the licensed use of Academy content by platform partners, cyber ranges, enterprise L&D providers, and resellers. It supplements the Academy Enterprise Training Terms, any applicable Order Form, and the Workforce Readiness Content License Agreement (where workforce modules are included).
1. Licensed Content
aisecurity.llc grants the Partner a limited, non-exclusive (unless an Exclusivity Addendum is in effect), non-transferable license to use the following Academy content during the License Term:
- AI Security Courses — structured course content, modules, scripts, quiz items, and facilitator guides for selected courses (specified in Order Form)
- Q&A Credential Bank — scenario-based knowledge items, domain mappings, difficulty bands, explanations, and remediation references (item count per Order Form)
- Flash Card Content — spaced-repetition learning items for AI security concepts, controls, vocabulary, and review practice
- Speed Run Modules — timed decision-practice exercises for AI security scenarios
- Lab Content — structured lab scenarios, instructions, and scenario descriptions (not live lab infrastructure)
- Workforce Readiness Modules — role taxonomy, readiness diagnostic, and hiring calibration content (if included in Order Form; governed jointly by the Workforce Readiness Content License Agreement)
Additional content modules available as Order Form amendments.
2. Permitted Use
Partner may use Licensed Content to:
- Deliver AI security training to Partner's end users (learners, employees, or enterprise customers) within the seat count and delivery mode specified in the Order Form
- Embed course modules, Q&A items, and flash cards in Partner's LMS under the permitted branding tier
- Facilitate private cohort sessions for Partner's enterprise customers using the licensed course content
- Package and deliver SCORM/LMS exports to Partner's enterprise customers under the permitted branding tier
3. Sublicensing and Resale
Partner may not sublicense, resell, or redistribute Licensed Content as a standalone product without a separate Resale Addendum. The following are not permitted under the standard content license:
- Selling individual course modules, Q&A items, or lab scenarios as standalone products independent of Partner's platform
- Redistributing content to third-party platforms or training providers not under Partner's direct commercial relationship
- Providing Licensed Content to any third party except Partner's enterprise customers as part of the permitted platform features
4. White-Label and Branding Rights
Branding tier is specified in the Order Form:
Co-branded: aisecurity.llc and Academy attribution required in learner-facing content. Partner branding may be added alongside.
Private-label: Partner branding in learner-facing content. aisecurity.llc attribution may be limited to documentation and legal notices.
Full white-label: Partner brand in all learner-facing content. No aisecurity.llc attribution in learner-facing materials. Requires higher minimum commitment, Customer-Facing Claims Policy agreement, and content review process.
Branding rights do not include:
- Claiming IP ownership of course content, Q&A methodology, or learning design
- Removing aisecurity.llc attribution from legal documents or compliance exhibits without written approval
- Using aisecurity.llc name or marks outside the permitted branding tier
5. Modification Rights
Partner may not modify the licensed course content, Q&A items, or lab scenarios without a Content Modification Addendum. Partner may add supplementary materials, wrap course content in Partner-branded UX, and configure learning path sequences without modification rights.
6. Prohibited Uses
Licensed content may not be used for:
- Representing Academy completion as a regulatory certification, compliance attestation, or employment qualification without explicit written agreement
- Using Q&A check scores as the sole basis for employment, termination, or promotion decisions
- Claiming the course content covers the full AI security domain without qualification
- Delivering licensed content to competitors of aisecurity.llc in the AI security training or assessment market without written approval
7. Customer-Facing Claims Policy
All Partner customer-facing claims derived from Licensed Content require review and approval by aisecurity.llc before public use or distribution to customers.
Approved claim categories (typically permitted):
- AI security course completion records
- Q&A knowledge assessment scores and coverage statements (scoped)
- Role-based learning path completion
Claims requiring approval:
- Specific coverage percentages or domain completeness claims
- Credential validity claims referencing aisecurity.llc methodology
- Comparative claims about learner readiness versus a benchmark
Claims not permitted:
- "Certifies" AI security readiness without scope qualification
- Standalone employment screening claims from Q&A scores
- Compliance attestation claims from course completion
8. IP Ownership
aisecurity.llc retains all IP rights in Licensed Content including course design, Q&A methodology, learning frameworks, and scoring models. No IP rights are transferred to Partner.
Partner retains all IP rights in Partner's platform, UX, learner data, and custom extensions commissioned separately.
9. Content Updates
aisecurity.llc will provide Licensed Content updates on the schedule specified in the Order Form (baseline: major course updates once per year; Q&A bank additions quarterly). aisecurity.llc will provide at least 60 days notice before deprecating a content version in active use.
10. License Term and Wind-Down
On expiration or termination:
- Partner must cease delivering Licensed Content in all customer-facing features within 30 days
- Partner must delete or return all Licensed Content in Partner's possession within 30 days and provide written certification of deletion
- Learner completion records generated during the license term may be retained by Partner under Partner's standard data retention policy
