Reseller Agreement

Resale rights, pricing and discounting, lead ownership, customer-support boundaries, payment terms, and territory rules.

1. Purpose

This agreement allows an authorized reseller to market and resell approved aisecurity.llc products, services, licenses, Academy products, assessment packages, and commercial programs.

2. Appointment

aisecurity.llc appoints the reseller as a non-exclusive reseller only for the approved territory, products, customer segments, and channels stated in an order form or partner schedule.

The reseller may not appoint sub-resellers unless explicitly authorized.

3. Approved Offerings

Approved offerings may include:

AI product security assessments
SecEng workbench licenses
enterprise site licenses
Academy content licenses
AIPSA voucher bundles
OEM pilot referrals
MSSP packages
private-label consulting packages
usage credit packs
support packages

4. Sales Responsibilities

The reseller is responsible for:

identifying qualified opportunities
presenting approved positioning
following current pricing guidance
complying with discounting rules
not making unauthorized promises
coordinating procurement and legal review
maintaining accurate opportunity records
protecting confidential materials

5. Lead Ownership

Lead ownership, registration, referral fees, discounts, and expiration periods should be stated in a reseller schedule.

If no lead-registration schedule exists, no reseller exclusivity applies.

6. Pricing and Discounts

The reseller may not discount beyond approved levels without written approval.

The reseller may not bundle aisecurity.llc offerings with misleading, unlawful, or unsupported claims.

7. Customer Contracts

The contracting model must be stated in the order form.

Possible models:

aisecurity.llc contracts directly with customer and pays referral or reseller margin
reseller contracts with customer and aisecurity.llc contracts with reseller
marketplace transaction
procurement partner transaction
private offer

8. No Unauthorized Commitments

The reseller may not:

modify license terms
promise unsupported integrations
promise security certifications not held
promise specific vulnerability outcomes
promise legal compliance
promise incident response
promise white-label rights
promise air-gapped deployment
promise unlimited usage
waive acceptable-use restrictions

9. Marketing

The reseller may use approved aisecurity.llc marks, descriptions, and materials only according to brand guidelines.

The reseller may not imply employment, agency, joint venture, exclusive partnership, or acquisition.

10. Support

Unless otherwise agreed:

reseller provides customer-facing commercial coordination
aisecurity.llc provides technical support according to the purchased support tier
reseller must route technical issues with sufficient detail
reseller must not promise direct emergency support unless contracted

11. Compliance

The reseller must comply with applicable laws, anti-bribery rules, export controls, sanctions restrictions, privacy obligations, and procurement integrity requirements.

12. Confidentiality

Pricing, non-public roadmap, customer opportunities, partner terms, technical details, and security materials are confidential.

13. Payment

Payment terms must be specified in the order form or reseller schedule.

14. Termination

aisecurity.llc may terminate reseller rights for non-payment, misrepresentation, unauthorized commitments, misuse of marks, breach of confidentiality, non-compliance, or customer harm.
